Terms and conditions.

How we work with clients: what gets agreed before a project starts, what each side is responsible for, and what happens at handover. Written to be read, not to be survived.

01Who these terms are with

Venix Digital is a web design and development studio run by Buda Gabriel and Grejuc Andrei. In these terms, "we", "us" and "our" mean Venix Digital. "You" means the person or business using this site or engaging us for a project.

You can reach us at contact@venixdigital.com or on (+40) 767 081 867. Email is the fastest route and it leaves a written record of what was agreed, which is useful for both sides.

02Using this website

This site describes what we do and lets you get in touch. Everything published on it is offered in good faith and kept accurate, but it is a description of our services rather than a binding offer. The prices, delivery times and package contents shown are the basis for a quote, not a contract on their own.

You are welcome to read, print and share these pages. You may not copy the code, the design or the written copy for use in a competing service.

03Quotes, scope and price

Every project starts with a written scope: what is being built, how many pages or screens, which features, and what it costs. Nothing begins until you have approved that in writing.

The price in an approved quote is fixed. If you later ask for something outside the agreed scope, we tell you what it costs and how it affects the timeline before we build it. We do not add it quietly and invoice for it afterwards.

Published package prices are starting prices. The figure that applies to your project is the one in the quote you approved, and any taxes or third party fees are set out there too.

04What we need from you

A fixed timeline only holds if the material we are waiting on arrives. If something is outstanding, the delivery date moves by the time we spent waiting, and we will say so rather than letting the date slip quietly. To keep a project on schedule, you agree to provide:

  • Text, images, logos and any other content, in a usable format.
  • Access to any accounts, domains or services the build depends on.
  • Feedback gathered into one response per revision round.
  • Confirmation that you own, or are licensed to use, everything you send us.

05Revisions

Each package includes a set number of revision rounds: one on Basic, three on Standard, five on Premium. A round is one consolidated set of changes, sent as a single response rather than in pieces across several days.

Revisions refine what was agreed. Redesigning something already approved, or adding pages and features that were never in the scope, is new work and is quoted before we start it. Extra rounds beyond the package can be bought at a rate we tell you in advance.

06Timelines

Delivery times run in working days from the moment the scope is approved and we hold the content we need. A single landing page is two working days, a multi-page site is five, and a larger Premium build is up to twenty-one. Rush delivery is available on some projects for a fee agreed in the quote.

We give honest estimates and hold to them, but a date can move if the scope changes, if content arrives late, or if something outside our control gets in the way. When that happens we tell you as soon as we know, not on the day it was due.

07Payment

Payment terms, including any deposit and the schedule for the balance, are set out in the quote you approve before work starts. We do not begin building until those terms are agreed in writing.

Invoices are payable by the date stated on them. If an invoice goes unpaid we may pause work and hold the final handover until it is settled. Nothing is deleted while that is being sorted out.

08Handover and ownership

Once the project is paid in full, the code and design we produced for you are yours. We hand the source over at launch and you are free to host it where you like, take it to another developer, or keep us on for maintenance. There is no lock-in and nothing is held back.

Third party components keep their own licences. Open source libraries, fonts, stock images and any paid service the build depends on stay governed by the terms of whoever supplies them, and those terms pass to you with the code.

Until final payment is made, the work remains ours. We also keep the right to reuse generic techniques, patterns and components we developed, which are not specific to your project.

09Showing the work

Unless you ask us not to, we may show a finished project in our portfolio and link to it, as we do with the work already listed on this site. If a project is confidential, tell us before launch and it stays off the site.

10After launch

Every project includes seven days of bug fixing from the day it goes live. That covers things that are broken: something not working as agreed, a layout that falls apart, a form that fails. It does not cover new features, design changes or content updates.

After those seven days, changes are handled either ad hoc or through a monthly maintenance arrangement, quoted per site.

11What we do not do

Stated plainly here so that nobody is surprised by it later:

  • We build from scratch. We do not take over, repair or redesign existing websites.
  • We do not build e-commerce yet. We will take it on and quote it honestly, but you would be our first, and we would tell you that before you paid us.
  • We do not sell hosting, domains or third party subscriptions. We will help you set them up, but the accounts and the bills stay in your name.
  • We do not subcontract and we do not resell other people’s work.

12Cancelling a project

You can stop a project at any point by telling us in writing. You pay for the work completed up to that point, and anything already paid that covers work not yet done is returned.

We may stop a project if the working relationship becomes unworkable, if the material we need never arrives, or if an invoice goes unpaid. If we do, we say why, invoice only for what was built, and hand over what exists.

13Liability

We build carefully and test what we ship, but no website is guaranteed to be free of faults, and we cannot promise uninterrupted availability on hosting we do not control.

Our responsibility for any claim connected to a project is limited to the amount you paid us for that project. We are not responsible for lost profit, lost data, lost business or other indirect losses. Nothing here limits liability that cannot lawfully be limited.

Keeping your own copies of the content you supply is your responsibility.

14Governing law

These terms are governed by Romanian law, and the Romanian courts have jurisdiction over any dispute arising from them. If you are a consumer rather than a business, this does not remove protections you have under the law of the country you live in.

Before anything reaches a court, we would rather talk. Write to us and we will try to sort it out directly.

15Changes to these terms

We may update these terms as the studio changes. The version published here applies from the date shown at the top of this page. The terms that govern a specific project are the ones in force on the day you approved its quote.
